By accessing or using FirstCheck.App (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and FirstCheck.App.
FirstCheck.App is a first-level third party risk assessment tool that generates research reports based on publicly available open-source information. Reports are generated using proprietary research methodology and artificial intelligence. The Service is intended for use by operations and compliance professionals, business managers, consultants, and organizations conducting third-party risk management activities.
Reports generated by FirstCheck.App do not constitute legal advice, regulatory advice, financial advice, or any other form of professional advice. FirstCheck.App is not a law firm or licensed professional services firm. All findings should be evaluated by qualified professionals in the context of your organization's specific risk tolerance, policies and directives, and applicable laws and regulations. Reliance on any report without independent verification and professional judgment is at your own risk.
Reports generated by FirstCheck.App are based solely on publicly available information accessible at the time of report generation. The Service does not access proprietary databases, sealed court records, confidential regulatory findings, or non-public financial information. Sanctions and restricted party screenings reflect open-source research and do not constitute direct real-time database queries. The requesting party must conduct independent verification against all applicable databases before entering into any business relationship or transaction. FirstCheck.App makes no representation that reports are complete, accurate, or current.
You may use the Service solely for lawful internal business purposes, including third-party risk management, compliance due diligence, and business decision support. You may retain reports as part of your organization's third-party risk management program in accordance with your applicable record-keeping obligations.
You may not use the Service to: (a) investigate individuals for personal, consumer, or employment screening purposes regulated under the Fair Credit Reporting Act or similar laws; (b) harass, stalk, or harm any individual; (c) violate any applicable law or regulation; (d) reproduce, resell, or distribute reports to third parties for commercial gain without express written authorization; (e) attempt to reverse engineer, copy, or replicate the Service's methodology, prompts, or proprietary framework; or (f) submit false, misleading, or fraudulent information to generate reports.
All content, methodology, report structure, risk frameworks, database architecture, and proprietary elements of the Service are the exclusive intellectual property of FirstCheck.App. Reports generated on your behalf are provided for your internal use only. No license to reproduce, distribute, modify, or create derivative works is granted. The FirstCheck.App name, logo, and methodology are proprietary and may not be used without express written authorization.
Reports generated by the Service are confidential and proprietary to the requesting party. You agree not to share, distribute, publish, or disclose reports to unauthorized third parties without appropriate confidentiality protections in place. Unauthorized disclosure may violate applicable law and these Terms.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT. FIRSTCHECK.APP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIRSTCHECK.APP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR ANY REPORT GENERATED THEREBY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL FIRSTCHECK.APP'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE THREE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless FirstCheck.App and its affiliates, officers, agents, and employees from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any applicable law or the rights of any third party.
Use of the Service is also governed by our Privacy Policy, available at firstcheck.app/privacy. By using the Service, you consent to the collection and use of information as described therein.
FirstCheck.App reserves the right to modify these Terms at any time. Updated Terms will be posted at firstcheck.app/terms with a revised effective date. Continued use of the Service following any modification constitutes acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas.
